NOTICE OF TRUSTEE'S SALE

PURSUANT TO THE REVISED CODE OF WASHINGTON

I.

NOTICE IS HEREBY GIVEN that the undersigned Trustee, F. Joe Falk, Jr., on the 24th day of June, 2005 at the hour of 10:00 a.m., on the steps at the entrance to the Grant County Courthouse, 35 C Street Northwest, in the City of Ephrata, State of Washington, will sell at public auction to the highest and best bidder, payable at the time of sale, the following described real property, situated in the county of Grant, state of Washington, to-wit:

PARCEL 1:

Lot 115 Desert Aire No. 4, as per plat recorded in Volume 9 of Plats, pages 72 and 73, records of Grant County, Washington.

Beginning at the Southeast corner of said Farm Unit; thence West along the South boundary thereof, a distance of 935 feet; thence Northeasterly, a distance of 1,322.29 feet to a point on the East boundary of said Farm Unit which is 935 feet North of the Southeast corner of said Farm Unit; thence South along the East boundary of said Farm Unit, a distance of 935 feet to the point of beginning.

Beginning at the East quarter of said Section; thence South 89°15'57" West along the North line of said subdivision 1,315.5 feet; thence South 02°36'33" East 447.99 feet to the true point of beginning; thence continuing South 02°36'33" East 447.98 feet; thence North 89°14'06" East, 1,262.69 feet; thence North 02°25'48" West, 405.44 feet; thence on a curve to the left with a radius of 1,382.5 feet, an arc distance of 42.17 feet (said curve being along the West boundary of State Highway); thence South 89°15'01" West, 1,263.45 feet to the true point of beginning.

EXCEPT beginning at the East quarter corner of said Section 34; thence South 89°15'57" West along the North line of the Northeast quarter of the Southeast quarter, a distance of 1,315.5 feet; thence South 02°36'33" East, a distance of 447.99 feet to the true point of beginning; thence continuing South 02°36'33" East, a distance of 447.98 feet; thence North 89°14'06" East, a distance of 828 feet; thence North 02°36'35" West, a distance of 447.81 feet; thence South 89°15'01" West, a distance of 828 feet, more or less, to the true point of beginning.

which is subject to that certain Deed of Trust recorded on July 2, 1998, under Grant County Auditor's File No. 1028727, records of Grant County, Washington, from SCOTT R. DIEFENBACH and JULIE A. DIEFENBACH, husband and wife, as Grantors, to SECURITY TITLE GUARANTY, INC., as Trustee, to secure an obligation in favor of NEI PENSION INVESTORS LIMITED PARTNERSHIP-XI, a Washington limited partnership, as Beneficiary.

II.

No action commenced by the Beneficiary of the Deed of Trust is now pending to seek satisfaction of the obligation in any Court by reason of the Grantor's default on the obligation secured by the Deed of Trust.

III.

The defaults for which this foreclosure is made are as follows:

A. Failure to pay when due the following sums, which are now in arrears:

*Plus interest at the default rate of 18% per annum ($42.00 per diem) from March 1, 2005.

IV.

The sum owing on the obligation secured by the Deed of Trust is principal of $84,000, together with interest and late charges as provided in the note or other instrument secured, as set forth in paragraph III, and such other costs and fees as are due under the note or other instrument secured, and as are provided by statute.

V.

The above described real property will be sold to satisfy the expense of sale and the obligation secured by the Deed of Trust as provided by statute. The sale will be made without warranty, express or implied, regarding title, possession or encumbrances on the 24th day of June, 2005. The defaults referred to in paragraph III must be cured by the 13th day of June, 2005 (11 days before the sale date), to cause a discontinuance of the sale. The sale will be discontinued and terminated if at any time on or before the 13th day of June, 2005 (11 days before the sale date), the defaults as set forth in paragraph III and all other defaults are cured and the Trustee's fees and costs are paid. The sale may be terminated any time after the 13th day of June, 2005 (11 days before the sale date), and before the sale by the Grantor or the Grantor's successor in interest or the holder of any recorded junior lien or encumbrance by paying the entire principal and interest secured by the Deed of Trust, plus costs, fees and advances, if any, made pursuant to the terms of the obligation and/or Deed of Trust, and by curing all other defaults.

VI.

A written notice of default was transmitted by the Beneficiary or Trustee to the Grantor or the Grantor's successor in interest at the following addresses:

by both first class and certified mail on the 25th day of January, 2005, proof of which is in the possession of the Trustee; and said written notice of default was served on Scott R. Diefenbach and Julie A. Diefenbach, on January 29, 2005 by personally serving two copies of said notice with the said Julie A. Diefenbach at their residence located at 14002 Road 25 Southwest, Mattawa, Washington, and the Trustee has possession of proof of such service.

VII.

The Trustee whose name and address is set forth below will provide in writing to anyone requesting it, a statement of all costs and fees due at any time prior to the sale.

VIII.

The effect of the sale will be to deprive the Grantor and all those who hold by, through or under the Grantor of all Grantor's interest in the above-described property,

IX.

Anyone having any objection to the sale on any grounds whatsoever will be afforded an opportunity to be heard as to those objections if they bring a lawsuit to restrain the sale pursuant to RCW 61.24.130. Failure to bring such a lawsuit may result in a waiver of any proper grounds for invalidating the Trustee's sale.

X.

NOTICE TO OCCUPANTS OR TENANTS

The purchaser at the trustee's sale is entitled to possession of the property on the 20th day following the sale, as against the Grantor under the deed of trust (the owner) and anyone having an interest junior to the deed of trust, including occupants and tenants. After the 20th day following the sale the purchaser has the right to evict occupants and tenants by summary proceedings under the unlawful detainer act, Chapter 59.12 RCW.
